How we handle the file

We first build a full picture of the commercial relationship: the contract, invoices, correspondence and trading history. We then give management a risk analysis, a cost estimate and the available options, including negotiation, arbitration or litigation. Where the claim is supported by a cheque or promissory note we will usually go straight to enforcement; otherwise we draft the statement of claim and file it through Najiz with the Commercial Court under the Commercial Courts Law. On corporate work we apply the Companies Law of 1443H when drafting and amending articles of association, and follow the filings through with the relevant authorities.

Common questions

Can a bounced cheque be enforced directly without a lawsuit?

A cheque is an enforceable instrument under the Enforcement Law, so in most cases an enforcement application can be made to the Enforcement Court without a full claim, unless a legal obstacle applies. A bounced cheque may also have a separate criminal aspect, depending on the circumstances.

When does a case belong in the Commercial Court?

Broadly, the Commercial Court hears disputes between traders relating to their commercial activities, partnership disputes and other matters set out in the Commercial Courts Law. Jurisdiction depends on who the parties are and the nature of the dispute. Getting it wrong can delay the case, so we settle it before filing.

My partner runs the company without consulting me. What are my options?

The Companies Law gives partners rights to information and to take part in decisions, depending on the company type and its articles, and may make a director who breaches them liable. We usually start by reviewing the articles and past resolutions to identify the options, from a negotiated approach to a claim.
